Distribution Agreement
This page sets out Atex Digital’s position in plain language. It is a working draft pending review by the company’s legal counsel and does not yet constitute the final binding agreement.
What this covers
This agreement governs the delivery of your sound recordings to digital stores and streaming services through Atex Digital, and the collection and payment of the royalties those services generate.
Ownership
You retain 100% of the copyright in your compositions and 100% of the ownership of your master recordings. Nothing in this agreement transfers, assigns or encumbers any share of either.
Non-exclusivity
This agreement is non-exclusive. You may distribute the same recordings through other parties, subject to the practical constraint that the same recording should not be delivered to the same store twice.
Fees and commission
There is no release fee. Atex takes no commission on distribution royalties. Publishing administration and sync licensing are separate services with their own separately published terms.
Your warranties
You confirm that you own or control the rights in everything you deliver, that any samples are cleared, that any featured performers and producers are accounted for in the splits you set, and that the recording does not infringe anyone else’s rights.
Delivery and timing
Releases are delivered to the stores in the network. Stores control their own ingestion and publication, so exact go-live timing is theirs rather than ours. Most releases reach major platforms within 48 hours.
Royalties and payment
Royalties are reported and paid as received from the stores, split according to the percentages recorded against the release, and withdrawable once a balance clears.
Takedowns and termination
You may request removal of your releases. Because stores process removals on their own schedules, allow time for propagation, and do not take a release down before a replacement delivery has gone fully live if you are migrating.
Still to be confirmed
Governing law and jurisdiction, dispute resolution, limitation of liability, indemnities, payment thresholds and timing, and notice provisions must be drafted and confirmed by the company’s legal counsel before launch.
